Key Responsibilities:
Draft and review 100+ contracts annually in a wide range of corporate/commercial transactions, including commercial agreements for one of South Africa's major restaurant retail franchises
Advised, led, negotiated and implemented a multitude of corporate transactions / restructuring / M&A transactions, including: a reorganization of a multinational health research organization; an amendment directors of a major joint-venture entity; conducting a due diligence exercise for a leading agriculture processing company; and the purchase and sale of shares for a leading private hospital worth more than R180 million;
Advising on data protection, information governance and data security, including drafting terms and conditions, privacy policy and POPIA consent agreements for businesses;
Advising on tax related matters, including public benefic organisation applications for non-profit ventures and amending founding documents to comply with preferential tax compliance;
Advise, draft and compile tender/RFP application(s) for state contracts, to the value of more than R50 million;
Registered 40+ trusts and implemented a host of fiduciary services (especially: trust formation/creation, administration, management, governance, compliance, income tax and VAT registration; and legal advisory services) ensuring successful estate planning structures, including an income distribution valued at R2.3 million to beneficiaries of a trust;
Provided over 80+ legal opinions, independently conducting legal research to ensure thorough preparation, including various opinions to a known academic institution and its special purpose vehicle;
Representing and advising one of the major Special Economic Zone's (SEZ) in their industrial development goals and commercial endeavors;
