Key Responsibilities:
Advising on cross-border private equity and venture capital transactions across African and global markets, ensuring compliance with multi-jurisdictional regulatory frameworks.
Drafting, reviewing, and negotiating high-value contracts with major energy trading and infrastructure clients in Dubai including agreements related to investments, acquisitions, joint ventures, mining and chemicals transportation between South Africa, Zambia and DR Congo.
Preparing, reviewing, and ensuring validity of certifications, permits, and compliance documentation for international trade and sector-specific regulatory requirements.
Conducting comprehensive legal due diligence on target companies across diverse sectors (infrastructure, technology, financial services, energy, mining, logistics, etc.).
Providing legal counsel on transactions, including the acquisition of mining shares, ensuring compliance with laws and regulations.
Coordinating with external counsel across multiple jurisdictions to streamline transaction execution and align with international best practices.
Advising senior leadership on corporate governance, regulatory compliance, and risk management.
Managing contract lifecycle and dispute resolution processes, including settlement negotiations and oversight of litigation/arbitration strategy when necessary.
